2Scope of Cooperation and Authorization
- Authorized territory: Party B receives non-exclusive / exclusive business development authorization in [target country/region].

3Revenue Share Model

Note: For all spending by suppliers referred by Party B, Party A pays commission at the above rates. Commission is settled monthly and paid by the 10th of each month. Reaching a higher tier's targets for 3 consecutive months triggers automatic upgrade.
4Rights and Obligations
Party A (8FO.COM) obligations:
- Provide a stable technical platform and API access
- Provide brand authorization letters, marketing materials, and product training
- Settle and pay commissions on time
- Protect Party B's customer data and not bypass Party B to contact its referred clients
Party B (Partner) obligations:
- Actively promote the 8FO.COM platform within the authorized territory
- Meet the agreed minimum performance targets
- Uphold the 8FO.COM brand image
- Ensure referred suppliers and RFQ information are genuine and valid
- Not represent competing platforms simultaneously
5Performance Targets and Review

Review: Quarterly. Two consecutive quarters below target results in a one-tier downgrade; three consecutive quarters below Associate level allows Party A to terminate the cooperation.
6Commission Settlement and Payment
- Settlement cycle: Monthly. Party A issues the statement on the 5th of each month; Party B confirms within 3 business days.
- Payment timing: Within 3 business days after confirmation.
- Payment methods: Bank transfer / PayPal / USDT.
- Minimum payout: Monthly commission below $100 is carried over to the next month.
- Taxes: Party B is responsible for tax filings in its own jurisdiction.
7Intellectual Property and Confidentiality
- The 8FO.COM brand, trademarks, and platform code are owned by Party A; Party B may use them only within the authorized scope.
- Both parties owe a perpetual duty of confidentiality regarding business information learned during the cooperation.
8Termination and Exit
- Expiry: The agreement terminates automatically if not renewed upon expiry.
- Breach: Either party may terminate for material breach with 30 days' prior written notice.
- Post-exit: Accrued commission is settled in full. For 12 months after exit, 50% of renewal commission from referred clients continues to be paid.
9Dispute Resolution and Governing Law
- Governing law: Laws of the People's Republic of China.
- Negotiation first: Disputes shall first be resolved through friendly negotiation.
- Arbitration: If negotiation fails, the dispute shall be submitted to CIETAC under its arbitration rules. Seat: Nanjing.
